Terms of Service

Important: these terms form a binding agreement between you and SoReel. Read them carefully. By creating an account or using the Service, you agree to be bound by them.

1. Definitions

• "SoReel", "we", "us", "our" - the operator of soreel.ae and associated services, registered and based in the United Arab Emirates.
• "Service" - the SoReel website, mobile interface, and any related features.
• "Creator" - an individual social media account holder using SoReel to discover and apply for collabs.
• "Business" or "Venue" - a commercial entity (and its authorised representative) using SoReel to publish collab offers.
• "User" - any Creator or Business using the Service.
• "Collab" - an agreement directly between a Creator and a Business under which the Business provides a product or experience and the Creator publishes social media content.
• "Content" - any text, image, video, link, or other material a User submits to or through the Service.

2. The Service - what SoReel is, and is not

SoReel is a discovery and coordination platform. We list Business offers, accept Creator applications, and facilitate post-collab reporting.

We are not a party to the Collab itself. The Collab is a direct agreement between Creator and Business. We do not employ Creators, we do not own venues, we do not guarantee performance by either party, and we do not mediate the terms of any individual Collab beyond what is published on the offer page.

3. Eligibility

• You must be at least 18 years old to create a Business account or to enter into any paid plan with us.
• You must be at least 16 years old to create a Creator account; users aged 16-17 may only use the Service with parent or guardian consent and may be subject to additional restrictions in line with UAE child protection law.
• You must have the legal capacity to enter into binding contracts in your jurisdiction.
• For Business accounts: the individual signing up must have authority to bind the legal entity they represent.
• You confirm that all information you provide is accurate, current, and complete.

4. Account responsibility

You are responsible for safeguarding your account credentials and for any activity on your account. Notify us immediately at legal@soreel.ae if you suspect unauthorised access. We are not liable for any loss resulting from your failure to protect your credentials.

5. Creator obligations

• Apply in good faith - only apply for Collabs you intend to fulfil.
• Publish genuine, original content in line with the offer's specified deliverables.
• Post within the time window agreed in the offer (typically 7 days from visit).
• Redemption codes are single-use and non-transferable.
• Comply with applicable advertising disclosure rules in your jurisdiction (in the UAE, the National Media Council e-media licence and influencer code apply; you are responsible for marking sponsored content where required).
• Maintain authentic, non-bot-inflated follower counts and engagement.
• Do not visit a venue or use a redemption code without the intent and capability to publish the agreed content.

6. Business obligations

• Honour all approved Collabs precisely as the offer was published, including dates, slots, value, and conditions.
• Offers must be accurate, current, and not misleading. We may remove offers that misrepresent the venue or its goods.
• Do not discriminate against applicants on the basis of nationality, ethnicity, religion, gender identity, disability, or other protected characteristics under UAE law.
• Trade licence and venue identity information must be truthful. We may require verification.
• Post-review window. When a Creator submits a post link, you have 7 days to either confirm completion or report a problem (e.g. fake or missing post). If you take no action within 7 days, the claim auto-completes. For Story/Live deliverables, the window is 48 hours after the Creator marks delivery; the same auto-completion rule applies.
• Provide a working WhatsApp contact number (verified through our process) so the Creator can reach you for visit arrangements.

7. Acceptable Use Policy

You will not, and will not permit anyone using your account to:

• Create or use multiple or fake accounts, or impersonate any person or entity.
• Manipulate platform metrics (followers, ratings, applications) by automation, bots, or paid services.
• Spam, harass, threaten, defame, or abuse any other User or our staff.
• Use the Service to facilitate any illegal activity under UAE law, including but not limited to fraud, money laundering, sanctions evasion, or the sale of restricted goods.
• Reverse engineer, decompile, scrape, or otherwise extract data from the Service except as expressly permitted by us in writing.
• Upload viruses, worms, ransomware, or any other malicious code.
• Attempt to gain unauthorised access to other Users' accounts or to our systems.
• Circumvent subscription, payment, plan-limit, or rate-limit mechanisms.
• Use the Service in a manner that would breach the laws of any jurisdiction where the Service is accessible.

Violation of this policy may result in immediate suspension or termination of your account and forfeiture of any unredeemed credit or active Collabs.

8. Content and intellectual property

Your content. You retain all ownership of Content you create and publish on your own social media accounts. We claim no rights to your social posts.

Limited licence to SoReel. When you submit a post link, screenshot, or other Content to the Service, you grant SoReel a non-exclusive, royalty-free, worldwide licence to: (a) display the link, thumbnail, and public engagement metrics within the Service to the matched Business for reporting purposes; (b) cache and process the Content for purposes of operating the Service; (c) aggregate anonymised metrics for platform analytics. This licence terminates when you delete the underlying Content or your account, except for retained copies required for legal, audit, or backup purposes.

Our platform. The SoReel name, logo, website design, source code, and underlying software are owned by us and protected by UAE and international intellectual property law. You may not copy, modify, distribute, or create derivative works of any part of the Service.

User-to-user content. Content one User submits about another (e.g. ratings, comments) must be truthful, in good faith, and not defamatory. We may remove Content that violates these terms.

9. Disputes between Users

Because Collabs are direct agreements between Creator and Business, disputes about Collab performance (e.g. a no-show creator, a venue that refused honouring an offer, a post the venue claims is fake) are primarily a matter between the two parties.

We provide a good-faith reporting mechanism through in-app support. We may, at our sole discretion: (a) review evidence both parties submit; (b) mark a claim as disputed or rejected; (c) suspend either or both accounts pending review; (d) issue platform credit; (e) refer the matter to UAE authorities where law requires.

Nothing in this section limits either party's right to pursue legal remedies directly against the other.

10. Payments, plans, and refunds

Paid subscriptions are processed via a UAE-licensed payment processor. We do not store full card numbers; payment credentials are tokenised by the processor.

Monthly plans are charged as a single upfront payment for one calendar month and do not auto-renew. You do not need to cancel - your access ends naturally at the end of the period and your account reverts to the free plan unless you choose to renew. Already-paid amounts are not refunded.

Annual plans are charged as a single upfront payment. They do not auto-renew; you will be notified before expiry and can choose to renew. Annual plan fees are non-refundable except where required by UAE Federal Law No. 15 of 2020 on Consumer Protection or by mandatory law.

Failed payments. If a payment fails, paid features will be suspended until the payment is settled. We may downgrade your account to the free tier after 14 days of non-payment.

Refund requests. Submit refund requests through in-app support within 14 days of the charge in question. We consider each request in line with UAE consumer protection law.

11. Verification and identity

To use certain features (publishing a venue, applying for a Collab, receiving the verified badge) you may be required to verify your identity, trade licence, social media account ownership, and/or WhatsApp contact number. Verification information is processed in line with our Privacy Policy.

We reserve the right to refuse verification at our discretion, including if we have reason to believe submitted documents are fraudulent or the person submitting is not authorised.

Keeping your trade licence current. A valid, unexpired trade licence is required to keep your offers visible to content creators. If your licence is missing, has expired, or was not accepted during verification, your account enters a 30-day period during which your offers stay live and can still be applied to. During that period your offers are labelled to content creators as awaiting licence confirmation, and a content creator is shown that status before they submit their interest.

We will contact you more than once during those 30 days, by every channel we hold for your account, and each message will say what specifically is missing.

After 30 days, offers belonging to the affected venue are cancelled. You will be told what was cancelled. Every content creator affected will be told directly. Restoring a valid licence lets you publish again; it does not restore cancelled offers.

No refund, credit or hold is given for offers already published and spent from your monthly allowance, and applications still open at that point are cancelled with the reason stated. If a content creator has already redeemed a perk before the cancellation, the agreed post is still owed, because the perk was received and that obligation stands.

12. Suspension and termination

We may suspend or terminate your account, with or without notice, if: you breach these terms; we are required to do so by law; the account has been inactive for 12+ months; or we reasonably suspect fraud, abuse, or harm to other Users.

You may delete your account at any time from Settings → Privacy. Deletion is processed within 30 days; certain data may be retained for legal, audit, fraud-prevention, or tax purposes for the periods stated in our Privacy Policy.

On termination: outstanding subscription fees remain due; active Collabs in progress may be honoured at our discretion, cancelled, or transferred; any unredeemed redemption codes issued to you are forfeited.

13. Limitation of liability

To the maximum extent permitted by UAE law:

• The Service is provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
• We do not guarantee uninterrupted service, specific outcomes (reach, applications, sales, ROI), or the conduct or performance of any other User.
• To the extent permitted by law, our total aggregate liability to you in connection with the Service is capped at the greater of (a) the total amount you paid us in subscription fees in the 12 months immediately before the event giving rise to the claim, or (b) AED 500.
• We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, even if foreseeable.
• These limitations apply regardless of the legal theory (contract, tort, statute, or otherwise) and survive termination of your account.

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be limited under applicable UAE law.

14. Indemnification

You agree to indemnify and hold harmless SoReel, its officers, employees, and contractors from any claim, loss, damage, liability, or expense (including reasonable legal fees) arising out of: (a) your use of the Service; (b) your Content; (c) your breach of these terms; (d) your performance or non-performance of any Collab; (e) your violation of any law or of any third party's rights.

15. Service availability and changes

We do not commit to any specific uptime or service-level agreement. We may modify, suspend, or discontinue any feature, in whole or in part, at any time, with or without notice.

For material changes that affect paying subscribers, we will give at least 14 days' advance notice via email or in-app notification.

16. Force majeure

Neither party is liable for any delay or failure to perform caused by events beyond reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, sanctions, pandemic, power or internet outages, or failure of third-party services we depend on.

17. Modifications to these terms

We may update these terms. We will post the updated version at this URL and update the "Last updated" date at the top. Material changes will be notified via email or in-app banner at least 14 days before they take effect.

Your continued use of the Service after the effective date constitutes acceptance of the updated terms. If you do not accept, you must stop using the Service and may close your account.

18. Assignment

You may not assign or transfer your account or any rights under these terms without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets, with notice to you.

19. Severability and waiver

If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in full force. No waiver of any term by us is a waiver of any other or subsequent breach.

20. Entire agreement

These terms, together with our Privacy Policy and any plan-specific terms displayed at checkout, constitute the entire agreement between you and SoReel regarding the Service, and supersede any prior agreements.

21. Governing law and jurisdiction

These terms are governed by the laws of the United Arab Emirates, without regard to its conflict of laws principles. The federal laws of the UAE and (where applicable) the laws of the Emirate of Abu Dhabi apply.

Any dispute, controversy, or claim arising out of or relating to these terms or the Service is subject to the exclusive jurisdiction of the courts of the Emirate of Abu Dhabi, United Arab Emirates. You and SoReel each waive any objection to that jurisdiction or venue.
